Welcome to Zerro, a multi-vendor marketplace platform operated from Chennai, Tamil Nadu, India. By registering as a vendor on Zerro ("the Platform"), you agree to be bound by the following Terms and Conditions. Please read them carefully.
Under Indian law and Zerro's policies, you are entitled to certain rights and are bound by specific responsibilities:
Right to Showcase Products: You have the right to list and sell your products to a wide consumer base on the Platform, subject to Zerro's listing policies.
Right to Set Terms: You have the freedom to set your product prices, define your shipping costs, return policies, and warranty details, provided they are clearly communicated and comply with applicable laws.
Responsibility for Accurate Information: You are legally obligated to provide accurate, complete, and truthful information about your products, including pricing, specifications, and country of origin, in compliance with the Consumer Protection Act, 2019.
Responsibility for Product Safety and Quality: All products you list and sell must meet the applicable safety, quality, and labeling standards as mandated by Indian laws (e.g., FSSAI for food, BIS for electronics, etc.).
Right to Redressal: You can raise disputes regarding fraudulent consumer claims or platform-related issues with Zerro's support team for a fair resolution.
Zerro caters to two types of vendors:
Retail Vendors: Individuals or businesses selling products directly to end consumers in smaller quantities.
Wholesale Vendors: Businesses or manufacturers selling products in bulk quantities to registered wholesalers on the platform.
2.1 Requirements for Wholesale Vendors
Wholesale Vendors must be registered as a business entity in India and provide valid GST registration details.
They are responsible for setting and adhering to their stated Minimum Order Quantity (MOQ) and wholesale pricing.
Wholesale Vendors must ensure their product listings are clearly marked for the wholesale segment and are not accessible to regular consumers.
You are solely responsible for the accuracy, quality, and legality of the products you list. You must ensure all content (images, text) is your original work or that you hold the necessary licenses.
When an order is placed, you agree to process it promptly and provide accurate shipping and tracking information.
You are responsible for packaging the product securely to prevent damage during transit.
Zerro will remit the sale amount (product price + shipping fee), minus the applicable platform commission and any other charges, to your registered bank account.
A detailed invoice for the commission will be made available to you.
Settlement cycles will be as per the agreement on the Platform (e.g., weekly, bi-weekly). Zerro is not liable for delays caused by payment gateways or your bank.
You are responsible for providing correct bank account details for settlements. Zerro is not liable for losses due to incorrect information provided by you.
You are required to have a clear and fair return and refund policy for your products.
If a consumer receives a product that is defective, damaged, or not as described, Zerro will mediate the dispute.
Zerro reserves the right to initiate a refund to the consumer and debit your vendor account if you are found non-compliant with your policies or Indian law.
You are responsible for the cost of return shipping for defective or misrepresented items, as per your policy.
Vendors are strictly prohibited from engaging in the following activities on the Platform:
Listing counterfeit, prohibited, illegal, or infringing products.
Providing false or misleading information about your business or products.
Engaging in fraudulent transactions, including fake orders or manipulating reviews.
Using abusive or unprofessional language with consumers or Zerro staff.
Attempting to circumvent the Zerro platform by directly soliciting consumers for off-platform transactions.
Violating the intellectual property rights of any third party.
You may cancel an order only under exceptional circumstances (e.g., stock unavailability, pricing error) with immediate notification to the consumer and Zerro.
Frequent cancellations may lead to penalties, including lower search ranking or suspension of your vendor account.
Zerro complies with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
You will have access to consumer data (shipping address, contact details) solely for the purpose of order fulfillment. You are prohibited from using this data for any other purpose or disclosing it to any third party.

The financial liability for a refund or replacement lies primarily with you, the vendor, as per your stated policy.
Zerro will facilitate the process and may act as an intermediary, but the final responsibility for the product quality and adherence to the description is yours.
While Zerro strives to provide a stable and secure platform, we are not liable for:
Any loss of sales or data due to temporary platform downtime or technical issues.
Misrepresentation or fraud by a consumer (though we will assist in resolving such issues).
Any loss or damage arising from unauthorized access to your vendor account due to negligence on your part.
Delays or damages caused by third-party logistics partners.

Zerro is committed to resolving vendor grievances within a reasonable timeframe.
Zerro reserves the right to update these Vendor Terms and Conditions periodically. Any changes will be communicated via email or through a notification on your vendor dashboard. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
